Establishing Our Agreement

Acceptance of Terms & Binding Contract

By ticking the “I Agree” checkbox, clicking “Sign Up” or “Purchase,” or otherwise accessing or using any SpanishVIP services, you are explicitly acknowledging that you have read, understood, and accept all terms and conditions contained herein. This action constitutes a legally binding contract between you and SpanishVIP. If you do not agree to these terms, you must not use our services.

We reserve the right to amend or update these Terms of Service at any time. Any changes will become effective immediately upon posting to our website. Your continued use of our services after such modifications signifies your acceptance of the updated terms. For significant changes, we may also provide direct notification, such as via email.

Description of Services & Modifications

SpanishVIP provides online Spanish language education services, which may include, but are not limited to, live online classes, digital course materials, interactive exercises, assessments, and access to community forums. Our services are continually evolving. We reserve the right to modify, suspend, or discontinue any aspect of our services, including features, content, class schedules, or pricing, with or without prior notice. While we strive for uninterrupted service, we do not guarantee constant availability. You are responsible for ensuring you have the necessary technical equipment and internet access to use our services.

Payments & Subscriptions

All fees for our services are displayed on our website and are subject to change. By purchasing a subscription or any service, you agree to pay all applicable charges, including any taxes, at the prevailing rates. Subscriptions may automatically renew at the end of each billing period unless cancelled by you prior to renewal. You are responsible for keeping your payment information current and accurate. Failure to make timely payments may result in the suspension or termination of your access to services, without warning. Any “lifetime” access or similar promotions are limited to the operational lifetime of the specific course or product and do not imply an indefinite commitment from SpanishVIP beyond this scope.


Term & Termination

These Terms remain in full force and effect while you use the SpanishVIP services. You may terminate your account at any time by contacting us, subject to any ongoing subscription obligations. SpanishVIP reserves the unequivocal right to suspend or terminate your access to all or any part of the services, at our sole discretion, without prior notice or liability, for any reason whatsoever, including but not limited to1 your breach of these Terms, non-payment, or conduct we deem harmful to other users or SpanishVIP. Upon termination, your right to use the services will immediately cease, and you must destroy all copies of any SpanishVIP materials. No refunds will be issued for termination due to a breach of these Terms.

Your Account & Access

Your SpanishVIP account is your personal gateway to accessing our comprehensive learning resources. This section outlines your responsibilities regarding account creation, security, and usage, ensuring a secure and personalized experience for you and the integrity of our platform.

Eligibility, Minors, & Legal Capacity

To register for a SpanishVIP account and independently use our services, you must be at least 18 years of age and possess the full legal capacity to enter into a binding contract. If you are under 18 years old, you may only use our services with the express consent and direct supervision of a parent or legal guardian who agrees to be bound by these Terms on your behalf. Our group classes services are not intended for, and must not be accessed by, anyone under the age of 18. By creating an account, you represent and warrant that you meet these eligibility requirements.

Account Registration & Accuracy

When creating your account, you agree to provide true, accurate, current, and complete information as prompted by the registration forms. You are solely responsible for maintaining the accuracy and completeness of your account information. Failure to do so may result in the suspension or termination of your account. You may only create one account per individual user, and any attempt to create multiple accounts or falsify registration information is a violation of these Terms.

Account Security, Sharing, & Liability

You are entirely responsible for maintaining the confidentiality of your account login credentials (username and password) and for all activities that occur under your account. You must implement strong, unique passwords and change them regularly. You agree to notify SpanishVIP immediately of any unauthorized use of your account or any other breach of security. SpanishVIP cannot and will not be liable for any loss or damage arising from your failure to comply with these security obligations.2

Sharing your account or login credentials with any other individual is strictly prohibited. Your account is for your personal, non-commercial use only and is non-transferable. Any unauthorized sharing or transfer of accounts will result in immediate suspension or permanent termination of your account without notice or refund. You are fully liable for any damages or losses incurred by SpanishVIP or third parties due to unauthorized use of your account resulting from your negligence or breach of these security provisions.

Intellectual Property Rights

Our commitment to providing high-quality educational content involves significant investment in intellectual property. This section clearly defines SpanishVIP’s ownership of all course materials and platform features, and outlines the limited license granted to you for personal use, alongside strict prohibitions against unauthorized reproduction or distribution.

SpanishVIP’s Ownership of Content & Platform

All content, materials, and features available on the SpanishVIP platform are the exclusive property of SpanishVIP or its licensors. This includes, but is not limited to: all course curricula, lessons, videos, audio recordings, texts, exercises, quizzes, software, methodologies, teaching techniques, lesson plans, visual designs, trademarks, service marks, logos, graphics, interfaces, and any underlying code, databases, and algorithms. These are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. Your enrollment or use of our services grants you no ownership rights to any of our intellectual property.

Any content, materials, or methodologies developed by SpanishVIP specifically for your class or individual learning plan remain the sole property of SpanishVIP. The preparation of content for a specific class does not transfer any ownership rights or grant any implied licenses beyond those explicitly stated herein.

Your Limited Personal Use License

Upon successful enrollment and payment, SpanishVIP grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the purchased course materials and features solely for your personal, non-commercial educational purposes. This license is tied to your individual account and specific course enrollment. “Revocable” means we can terminate this license and your access if you violate these Terms.

This license explicitly does not grant you any rights to commercially exploit, sublicense, or distribute any SpanishVIP content. Any use beyond the scope of this limited license is strictly prohibited and constitutes a material breach of these Terms, which may result in immediate account termination and legal action.

Strictly Prohibited Uses of SpanishVIP Content

You are expressly prohibited from engaging in the following actions with respect to SpanishVIP’s intellectual property and content:

  • Reproduction or Duplication: Copying, recording (audio or video), transcribing, or otherwise reproducing any course materials, live classes, or platform content, in whole or in part, by any means, without explicit prior written consent from an authorized SpanishVIP representative.
  • Distribution or Sharing: Sharing, transmitting, publicly displaying, performing, or distributing SpanishVIP content to any third party (including friends, family, or other students) for any purpose, whether commercial or non-commercial. This includes sharing login credentials.
  • Modification or Derivative Works: Modifying, adapting, translating, creating derivative works from, decompiling, reverse engineering, disassembling, or otherwise attempting3 to discover the source code of any software or content provided by SpanishVIP.
  • Commercial Exploitation: Using SpanishVIP content for any commercial purpose, including reselling, licensing, sublicensing, renting, leasing, or otherwise commercially exploiting any part of our services or materials.
  • Competitive Use: Utilizing any SpanishVIP content, methodologies, or information to develop, market, or promote any competing language education service or product.
  • Public Performance: Showing or performing any SpanishVIP video, audio, or course material in public settings or to groups of people without specific written authorization.
  • Circumvention of Access: Attempting to circumvent any technological measures implemented by SpanishVIP to restrict access to content or services.

Any violation of these prohibited uses is a severe breach of these Terms, will result in immediate and permanent termination of your account without refund, and may subject you to significant legal penalties, including but not limited to damages, injunctions, and attorney’s fees.

User-Generated Content (UGC) License to SpanishVIP

When you submit, post, upload, or transmit any content on or through SpanishVIP’s platform (e.g., forum posts, assignment submissions, comments, testimonials), you grant SpanishVIP a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and sublicensable license to use, reproduce, modify, adapt, publish, translate,4 create derivative works from, distribute, perform, and display such content in any media, for any purpose, including5 for promoting and improving SpanishVIP’s services. You represent and warrant that you own or have the necessary licenses, rights, consents, and permissions to grant6 this license to SpanishVIP.

Community Code of Conduct & Enforcement

Our SpanishVIP community thrives on mutual respect and dedication to learning. This Code of Conduct outlines the expected behaviors from all students to ensure a positive, safe, and focused environment. Your adherence is crucial for maintaining the high standards of our educational platform.

Expected Professional & Respectful Behavior

All interactions on the SpanishVIP platform, including within classes, forums, and communication channels, must be conducted with professionalism, courtesy, and respect. We expect you to:

  • Engage constructively and contribute positively to discussions.
  • Respect the diverse backgrounds and opinions of instructors and fellow students.
  • Maintain focus during classes and avoid disruptive behavior.
  • Use appropriate language and tone in all communications.

Strictly Prohibited Actions & Behaviors

The following actions are strictly prohibited and constitute a material breach of these Terms:

  • Harassment, Discrimination, & Hate Speech: Any form of harassment, bullying, intimidation, hate speech, or discrimination based on race, ethnicity, religion, gender, sexual orientation, disability, or any other protected characteristic.7
  • Inappropriate Content: Sharing, uploading, or displaying any content that is obscene, vulgar, sexually explicit, violent, illegal, or otherwise offensive.
  • Disruptive Conduct: Any behavior that disrupts the learning environment, including but not limited to excessive noise, off-topic discussions, repeated interruptions, or unauthorized recording of classes.
  • Academic Dishonesty: Engaging in any form of cheating, plagiarism, misrepresentation of identity, or unauthorized collaboration on assignments or assessments.
  • Solicitation & Commercial Activity: Using the platform to solicit other students or instructors for external services, products, personal contact information, or promoting competing businesses.
  • Impersonation: Falsely representing yourself as another person, entity, or a SpanishVIP employee.
  • Unauthorized Personal Information Sharing: Sharing private or confidential information about other students, instructors, or SpanishVIP without their explicit consent.
  • Misuse of Technology: Introducing viruses, malware, or any other harmful code; attempting to gain unauthorized access to SpanishVIP’s systems; interfering with the proper functioning of the platform; or engaging in any activity that could damage, disable, overburden, or impair our servers or networks.

Reporting Violations & Enforcement

We encourage all students to report any violations of this Code of Conduct promptly. You can report concerns through [link to reporting mechanism or email provided separately]. All reports will be handled with discretion and respect for privacy.

SpanishVIP reserves the absolute and sole right to investigate reported violations and determine appropriate action. We may, at our discretion, issue warnings, suspend access to services for a specified period, or permanently terminate your account without notice or refund for any breach of these Terms, especially regarding community conduct. Our decision regarding enforcement actions is final. We may also cooperate with law enforcement authorities and pursue legal action as deemed necessary.

General Legal Provisions

This final section addresses important overarching legal aspects of our agreement, including disclaimers, limitations on liability, and how any disputes will be resolved. These provisions are designed to protect both you and SpanishVIP, providing clarity on our mutual legal responsibilities.

Disclaimer of Warranties

SPANISHVIP SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. SPANISHVIP DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED. WE DO NOT8 GUARANTEE SPECIFIC LEARNING OUTCOMES, AS INDIVIDUAL RESULTS DEPEND ON EFFORT, DEDICATION, AND VARIOUS EXTERNAL FACTORS. YOUR USE OF THE SERVICES IS SOLELY AT YOUR OWN RISK.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SPANISHVIP, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL,9 OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE10 THE SERVICES. THIS LIMITATION APPLIES WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY,11 OR ANY OTHER BASIS, EVEN IF SPANISHVIP12 HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE. IN NO EVENT SHALL SPANISHVIP’S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT PAID BY YOU TO SPANISHVIP FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Indemnification

You agree to indemnify, defend, and hold harmless SpanishVIP, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) that such parties may incur as a result of or arising from your (or anyone using your account’s) violation of these Terms13 or your use of the Services, including, but not limited to, any intellectual property infringement claims or any claims related to your user-generated content.

Force Majeure

SpanishVIP will not be liable for any failure or delay in performing its obligations under these Terms due to causes beyond its reasonable control, including,14 without limitation, acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes,15 or shortages of transportation facilities, fuel, energy, labor, or materials.

Governing16 Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State17 of Delaware, USA, without regard to its conflict of law principles. Any dispute, controversy, or claim arising out of or relating to these Terms or the18 breach, termination, or invalidity thereof, shall be19 settled by binding individual arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The20 arbitration shall take place in21 [City, State, e.g., Wilmington, Delaware]. You agree to waive your right to a jury trial and your right to participate in a class action lawsuit or class-wide arbitration. This arbitration provision shall survive termination of these Terms.

Severability & Entire Agreement

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect and enforceable. These Terms, along with any other legal notices or agreements published by SpanishVIP on the Services, constitute the entire agreement between you and SpanishVIP concerning the Services and supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between you and SpanishVIP.22

Waiver & Assignment

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and SpanishVIP’s23 failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision. SpanishVIP24 may assign its rights and obligations under these Terms to any party at any time without notice to you. You may not assign your rights or obligations25 under these Terms without SpanishVIP’s prior written consent.
